01About WYND

Who is behind WYND?
The company WYND Capital GmbH is based in Hamburg (Amtsgericht Hamburg, HRB 194779) and was founded by the entrepreneurs Dennis Monner and Tim Hoffmeister. Dennis Monner is a serial founder and tech CEO with several successful exits (including Secucloud). The WYND Utility Token is issued by MD Capital GmbH as a legally separate entity.
How long has WYND been active?
The first yacht, WYND 1 (Legacy), has been sailing since 2023 in year-round charter operation on the Red Sea. The WYND brand has been built up since 2023 — the real operation is the proof of the model.
Is WYND a reputable company?
WYND operates registered companies in Hamburg and a real charter operation since 2023, publishes transparent contractual and risk disclosures, and has completed a MiCAR white paper for the WYND Token which has been notified to BaFin and is listed in the ESMA register. At the same time, this is a high-risk, illiquid early-stage offering — reviewing the contractual documentation yourself and obtaining independent advice are expressly recommended.

02The Fleet

Which yachts belong to the WYND fleet?
WYND 1 (Legacy) — 43 m, in operation since 2023, co-ownership sold out. WYND 2 (Legacy Grand) — 49.20 m, around 90 % complete, launch planned for 11/2026, currently on sale. WYND 3 (New Build) — the first in-house new build, in planning, available from 2029.
Where do the yachts sail?
The home port and cruising area is the Red Sea (El Gouna, Egypt). Further cruising areas are envisaged in future; the planned new build (WYND 3) is fully ocean-going with RINA "Unrestricted Navigation".

03Co-ownership · Commodore Collection

What is the Commodore Collection?
A co-ownership offering in the 49-metre superyacht Legacy Grand (WYND 2): ten shares in three classes — Commodore, Captain and Private Owner.
How is the participation structured?
As a registered limited-partner interest (Kommanditanteil) in the operating KG. This is an entrepreneurial participation. Only the contractual documentation is authoritative and binding.
What does a share cost?
Commodore from 100,500 €, Captain from 174,500 €, Private Owner from 278,500 €. All figures are indicative; only the contractual documentation is binding.
What return does the participation offer?
This is an entrepreneurial participation. Any returns are exclusively revenue-dependent and not guaranteed; there is a risk up to the complete loss of the capital invested. Specific terms arise solely from the binding contractual documentation.

04Use & Booking

How many days on board do I get?
Depending on the class: Commodore 12 days, Captain 14 days, Private Owner 6 days of whole-yacht time per year — in each case at the owner rate and accumulable over the term.
Can I rent out my days?
Yes. Owners can use their days themselves or rent them out through WYND.
How do I book my time on board?
Through the WYND booking system — charter weeks and owner days run through the same system. Details on the booking system page.

05The WYND Token

What is the WYND Token?
The WYND Token ($WYND) is a utility token under MiCAR with which bookings in the WYND system can be settled. It is not a security, not a participation and not a promise of returns. The issuer is MD Capital GmbH in Hamburg.
Is the WYND Token approved by BaFin?
No. Under the EU regulation MiCAR, BaFin does not approve crypto-asset white papers. The white paper for the WYND Token was notified to BaFin and is listed in the EU-wide ESMA register of crypto-asset white papers. It carries the legally required statement that it has not been approved by any authority and that the offeror alone is responsible for its content (Art. 6(3) MiCAR).
Do I have to use the token to take part?
No. The token is an optional booking tool. Both co-ownership and bookings work entirely in the conventional way.
Does the WYND Token have anything to do with other crypto projects called "WYND"?
No. There are third-party crypto projects of the same name (e.g. in the Cosmos ecosystem) which have no connection to WYND. The WYND Utility Token belongs to the WYND group (MD Capital GmbH).

06Regulation & Risks

Is there a prospectus and deposit protection?
No. The limited-partner interest (Kommanditbeteiligung) is not a public offering within the meaning of a securities prospectus, and there is no deposit protection. This is an entrepreneurial participation; only the contractual documentation is binding.
What are the risks?
An entrepreneurial participation with substantial risks up to and including the complete loss of the capital invested. Any returns are revenue-dependent and not guaranteed, the participation is illiquid, there is no deposit protection. Crypto-assets such as the WYND Token additionally carry their own risks.
Who is the legal provider?
The yacht co-ownership (Commodore Collection) is the responsibility of WYND Capital GmbH (HRB 194779). The WYND Token is issued by MD Capital GmbH (HRB 126251) — both based in Hamburg.
